End User License Agreement (EULA)

Software license terms and proprietary platform protections governing your use of Audence.

This End User License Agreement (“EULA” or “Agreement”) is a legally binding contract between you (“User”, “Licensee”, or “you”) and Audence Software (“Audence”, “we”, “us”, or “our”). This EULA governs your installation, access to, and use of our web applications, client interfaces, APIs, proprietary algorithms, video review players, AI assistants (“Audie”), and associated cloud services available at audence.app (collectively, the “Software” or “Platform”).

By creating an account, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA, our Terms of Service, our Privacy Policy, and our DMCA Copyright Policy. If you do not agree to the terms of this EULA, you must immediately cease accessing and using the Software.

1. Scope of License Grant

Subject to your continued compliance with the terms of this Agreement and active subscription standing, Audence grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access, display, and use the Software solely for your personal creator workflows or internal business operations in connection with video production, review, asset organization, client approval, and team collaboration.

This is a license to use the Software, not a sale or transfer of title. You do not acquire any ownership rights or intellectual property interests in the Software itself. All rights not expressly granted to you under this Agreement are strictly reserved by Audence and its licensors.

2. Audence Ownership & Intellectual Property Protection

The Software, including without limitation its source code, object code, design architecture, user interfaces, graphic designs, icons, typography, animations, interactive video review timeline mechanisms, custom UI components, algorithms, APIs, database schemas, documentation, the “Audence” and “Audie” names, trademarks, service marks, and trade dress, are the exclusive intellectual property of Audence Software and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You agree not to remove, obscure, or alter any copyright, trademark, patent, or other proprietary rights notices affixed to or contained within the Software. Any feedback, suggestions, ideas, or proposals submitted by you regarding the Software shall become the sole property of Audence, and we may utilize such feedback for any purpose without restriction, attribution, or compensation to you.

3. License Restrictions: Anti-Scraping, Decompilation & Extraction

You agree that you shall not, directly or indirectly, and shall not authorize or encourage any third party to:

  • Reverse Engineering: Decompile, reverse engineer, disassemble, decrypt, or attempt to derive or reconstruct the source code, underlying structure, ideas, algorithms, file formats, or programming interfaces of the Software or any portion thereof.
  • Automated Scraping & Data Mining: Use any robot, spider, crawler, scraper, automated query script, browser automation tool, headless browser, screen scraper, or other automatic or programmatic device to access, copy, index, monitor, harvest, or extract data, code, creator profiles, brand directories, sponsor rates, user directories, metrics, or content from the Platform without prior express written authorization from Audence.
  • AI Model Training & Benchmarking: Use the Software, user interfaces, platform data, creator analytics, or system outputs to train, fine-tune, evaluate, benchmark, or develop any artificial intelligence model, large language model (LLM), machine learning algorithm, or competing software application.
  • Security Bypass & Tampering: Circumvent, disable, probe, scan, breach, or tamper with any security, digital rights management (DRM), authentication tokens, rate limiters, encryption mechanisms, role-based access controls, or license validation systems of the Platform.
  • Sublicensing & Commercial Exploitation: Rent, lease, lend, sell, resell, sublicense, assign, distribute, publish, or make available the Software or workspace access to unauthorized third parties on a service bureau, timesharing, or application service provider basis.
  • Derivative Works: Modify, translate, adapt, alter, or create derivative works or improvements based upon the Software.

4. User Conduct Boundaries & Acceptable Use

Your license to use the Software is strictly conditioned upon maintaining lawful and respectful conduct within your workspace and across the platform. You agree that you will not:

  • Transmit or upload any malware, viruses, worms, spyware, ransomware, keyloggers, or malicious payloads designed to damage, hijack, or interrupt the operation of any computer, server, or network.
  • Attempt unauthorized access to other creators' workspaces, accounts, draft video cuts, client review links, comment feeds, or connected social accounts.
  • Impersonate any person, creator, brand, entity, or Audence staff member, or falsify channel ownership, audience size, or verification badges.
  • Use the Platform to engage in harassment, threats, defamation, hate speech, distribution of unsolicited spam, deceptive marketing schemes, or illegal activities.
  • Exceed API rate limits, flood chat feeds or voice rooms, or impose unreasonable or disproportionate load on Audence server and Cloudflare R2 media streaming infrastructure.

5. Creator Content & 100% Intellectual Property Retention

Consistent with our Terms of Service, you retain 100% ownership and copyright of all video footage, audio files, project cuts, revisions, thumbnail art, scripts, and timeline comments that you upload to the Software. Nothing in this EULA transfers ownership of your creator assets to Audence.

You represent and warrant that you possess all necessary rights, licenses, consents, and authorizations to upload and review your content on Audence, and that your content does not infringe upon third-party copyrights or trademark rights. For copyright infringement notices concerning uploaded user assets, please consult our DMCA Copyright Policy.

6. AI Features & Audie Assistant

The Software includes artificial intelligence capabilities, such as the Audie assistant, automated timeline summaries, content ideation tools, and script suggestions powered by the Google Gemini API. These features are licensed to you as productivity aids under this Agreement.

You acknowledge that AI-generated suggestions, transcripts, and analysis are provided on an “AS IS” basis. You remain solely responsible for reviewing and verifying all AI-generated outputs before publishing or making creative and commercial commitments based upon them. Audence does not use your private creator video assets or uploaded source files to train public foundation AI models.

7. Updates, Enhancements & Maintenance

Audence may from time to time, in its sole discretion, develop and provide updates, upgrades, bug fixes, patches, new feature releases, or interface enhancements to the Software (“Updates”). Such Updates are delivered automatically via the web application and shall be deemed part of the Software subject to this EULA.

Audence reserves the right to modify, replace, suspend, or discontinue any feature, tool, or functionality of the Software with or without notice, without incurring liability to you.

8. Term, Suspension & Revocation of License

This EULA remains effective until terminated by either you or Audence. You may terminate this Agreement at any time by ceasing all use of the Software, deleting your account, and removing any stored platform components.

Audence may immediately suspend, restrict, or revoke your license to access the Software, without prior notice or liability, if:

  • You breach any provision of this EULA, the Terms of Service, or Acceptable Use rules.
  • You engage in unauthorized scraping, reverse engineering, security tampering, or IP infringement.
  • Your subscription payment is delinquent, canceled, or charged back.
  • Required by applicable legal process, court order, or regulatory authority.

Upon termination of this license, all rights granted to you under this EULA shall immediately terminate, and you must discontinue all access to and use of the Software. Sections 2, 3, 5, 9, 10, and 11 shall survive termination of this Agreement.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, ACCOMPANYING DOCUMENTATION, AND AI TOOLS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

AUDENCE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT. AUDENCE DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

IN NO EVENT SHALL AUDENCE SOFTWARE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, WORK STOPPAGE, OR COMPUTER FAILURE, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE.

IN NO EVENT SHALL AUDENCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO AUDENCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $100.00 USD.

11. Governing Law & Severability

This EULA shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws rules. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
