Terms of Service
Transparent terms built for creators and modern creative workflows.
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Audence Software (“Audence”, “we”, “us”, or “our”) governing your access to and use of our web application, tools, and services located at audence.app. By creating an account, accessing, or using Audence, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Audence is a private video review and production workspace designed for creators, editors, and invited collaborators. It is not an unauthenticated public video hosting service.
1. Eligibility & Age Requirements
You must be at least 13 years of age to access or use Audence. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use Audence with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
To enter into legally binding paid brand contracts, sponsorship deals, commercial collaborations, or receive creator milestone payouts via Stripe Connect, you must be at least 18 years of age (or possess verified parental consent from a parent or guardian with legal capacity).
2. Creator Content & 100% Intellectual Property Ownership
You retain 100% ownership and copyright of all video footage, draft cuts, source files, audio recordings, project thumbnails, scripts, notes, comments, and media assets that you upload or transmit to Audence (collectively, “User-Generated Content” or “UGC”). Audence claims no ownership, copyright, or title in any of your creator assets.
Limited Service License: You grant Audence a strictly limited, non-exclusive, royalty-free license solely to host, store, cache, transcode, stream, and display your UGC at your direction to authorized workspace members and invited review recipients. This license terminates automatically when your content is deleted or when your workspace is purged.
Zero Foundation Model Training: Audence does not sell your UGC to third parties, nor do we or our infrastructure partners use your video cuts, raw footage, or conversations to train or fine-tune public foundation AI models. For copyright infringement notices, DMCA takedown procedures, and counter-notifications regarding uploaded media, please review our dedicated DMCA Copyright Policy.
3. Artificial Intelligence Tools (Google Gemini Disclosures)
Audence integrates automated generative assistance (“Audie AI”) powered by the Google Gemini API to help brainstorm content ideas, generate title and tag recommendations, summarize timeline feedback, and analyze channel metrics.
- Generative Output Disclaimer: AI suggestions and summaries are provided on an “AS IS” basis. AI outputs are probabilistic and may occasionally contain inaccuracies, omissions, or unintended variations.
- Creator Responsibility: You are solely responsible for reviewing, evaluating, fact-checking, and approving all AI-generated content, titles, or summaries prior to publishing or relying upon them for commercial purposes.
- Strict Data Separation: When prompts or feedback comments are sent to the Google Gemini API to produce an on-demand summary, that data is processed transactionally under enterprise terms and is never used to train public foundation models.
4. Third-Party Infrastructure & Processors
Certain core functions of Audence rely on industry-standard third-party service providers. By using Audence, you acknowledge and agree to their role in our platform delivery:
- Supabase: Provides managed PostgreSQL database services, user authentication, and Row Level Security enforcement.
- Cloudflare R2: Provides high-performance, zero-egress encrypted object storage for video revisions and media assets, accessed exclusively via time-limited presigned URLs.
- Stripe: Processes payment card billing, subscription lifecycle management, and editor payouts via Stripe Connect under Stripe’s Services Agreement.
- Plaid: Facilitates read-only bank verification under a strict zero-retention standard (queries are evaluated live in server memory and never written to our database).
- Upstash: Provides serverless Redis rate limiting to protect workspace APIs against distributed denial-of-service, brute-force attempts, and abuse.
- Resend: Dispatches transactional communications including team invites, security codes, and renewal notifications.
5. Subscriptions, Billing & Annual Pre-Renewal Notifications
Audence offers both free workspace tiers and paid subscription plans (such as Creator and Brand). Current pricing, feature allocations, and storage allowances (e.g., 100 GB on Creator) are clearly displayed at the time of subscription.
- 14-Day Free Trial: Paid plans may include a 14-day free trial. You may cancel at any point during your trial period without incurring any charges.
- Automatic Recurring Billing: Unless canceled, your subscription automatically renews at the end of each billing cycle (monthly or annually) using your designated payment method on file.
- Annual Renewal Pre-Notification: In accordance with consumer protection standards, for all annual recurring subscriptions, Audence sends an automated email notification 3 days prior to your annual auto-renewal date. This email clearly discloses the upcoming charge amount, renewal date, and a direct link to manage or cancel your subscription.
- Failed Payments & Grace Period: If a scheduled payment fails, Audence provides a 7-day grace period with active workspace access preserved while you update your payment details in Stripe. If payment is not updated, your workspace transitions to the free tier.
6. Seamless Cancellation Policy (No Hostage Patterns)
We believe canceling a subscription should be just as easy and fast as signing up. In compliance with FTC regulations and modern digital fairness guidelines:
- Direct Anytime Cancellation: You can cancel your subscription at any time directly in Settings → Plan & Billing. The cancellation flow requires no more steps than sign-up and takes effect at the conclusion of your current prepaid billing cycle.
- Voluntary Retention & Pause Options: To support creators experiencing temporary production breaks or budget constraints, Audence offers optional promotional discounts (e.g., 50% off) and a 30-day subscription pause. These offers are entirely optional: you may bypass them and finalize direct cancellation immediately in a single click without navigating defensive hurdles or hostage patterns.
- Post-Cancellation Access: Upon canceling, your workspace remains fully active on your paid plan with all features until the end of your prepaid period. You will never be billed again unless you choose to reactivate.
7. Account & Workspace Hard-Deletion
You have the right to permanently close and delete your Audence account or workspace at any time through Settings → Profile → Danger zone.
Automated Database & Cloudflare R2 Sweep: Confirming account or workspace deletion initiates an irreversible automated hard-delete routine that:
- Hard-deletes all associated database rows across user, project, and comment tables.
- Purges all draft cuts, versions, source files, and review comments.
- Executes a recursive cleanup routine across Cloudflare R2 object storage, permanently deleting all video files, revisions, thumbnails, and orphaned media assets.
- Revokes and wipes all third-party OAuth tokens and banking connections.
Because hard-deletion is permanent and immediate, please download any vital project assets prior to confirming account or workspace deletion.
8. Acceptable Use Policy
When using Audence, you agree that you will not:
- Upload, share, or stream any content that infringes upon any third party's copyright, trademark, or privacy rights.
- Upload content that is illegal, defamatory, obscene, or promotes violence or hate speech.
- Attempt to reverse-engineer, decompile, scrape, or probe the Audence codebase, API, or infrastructure.
- Interfere with or circumvent platform rate limits, security tokens, or authentication controls.
- Resell, sublicense, or distribute Audence workspace access to unauthorized third parties.
For complete software licensing boundaries, proprietary platform ownership protections, anti-scraping rules, and reverse engineering restrictions, please review our End User License Agreement (EULA).
9. Warranty Disclaimer & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDENCE SOFTWARE AND ITS SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IN NO EVENT SHALL AUDENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, FOOTAGE, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AUDENCE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100.00 USD, WHICHEVER IS GREATER.
10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal dispute arising under these Terms shall be resolved through binding individual arbitration or in small claims court, and you agree to waive any right to participate in a class action or representative proceeding.
